These Terms and Conditions (" Agreement ") govern the relationship between NEXAURACREATES ("Agency"), its employees, and its clients. By engaging with or working for NEXAURACREATES, you agree to these terms.

1. GENERAL TERMS

1.1 These terms apply to all employees, contractors, and clients of NEXAURACREATES.

1.2 The Agency reserves the right to modify these terms at any time. Continued engagement constitutes acceptance of the latest terms.

1.3 Any violation of these terms may result in termination of employment, contract, or service agreement.

2. EMPLOYEE TERMS

2.1 Employment & Conduct

2.1.1 Employees must perform their duties professionally and ethically.
2.1.2 Confidential agency and client information must not be shared.
2.1.3 Failure to complete assigned work within deadlines may result in termination.

2.2 Non-Compete & Non-Solicitation

2.2.1 Employees may not engage in competing businesses during or within six (6) months of leaving the Agency.
2.2.2 Employees cannot solicit NEXAURACREATES clients or team members for personal gain.

2.3 Intellectual Property

2.3.1 Any work created for the Agency remains its property.
2.3.2 Employees cannot reuse, resell, or claim ownership over Agency projects.

2.4 Payment & Termination

2.4.1 Payments will be made as per contract terms. Performance-based adjustments may apply.
2.4.2 Employees may resign with a minimum 15-day notice unless otherwise stated.
2.4.3 The Agency may terminate employment due to misconduct, poor performance, or contract breaches.

3. CLIENT TERMS

3.1 Service Engagement

3.1.1 Clients must provide clear project requirements before work begins.
3.1.2 Any changes after project initiation may incur additional charges.

3.2 Payments & Refunds

3.2.1 Payments must be made per the agreed invoice schedule.
3.2.2 Refunds are only provided if the Agency fails to deliver agreed services, excluding force majeure events.

3.3 Confidentiality & Ownership

3.3.1 NEXAURACREATES will maintain confidentiality regarding client projects.
3.3.2 Upon full payment, clients receive usage rights to deliverables. The Agency retains portfolio rights unless agreed otherwise.

3.4 Project Timelines & Revisions

3.4.1 Project timelines will be communicated before work begins.
3.4.2 Clients receive a limited number of revisions per contract; additional revisions may incur charges.

3.5 Termination of Services

3.5.1 The Agency reserves the right to discontinue services due to breach of contract, unethical practices, or non-payment.

4. GENERAL PROVISIONS

4.1 Limitation of Liability

4.1.1 The Agency is not liable for indirect damages, including financial loss due to project delays or technical issues.

4.2 Force Majeure

4.2.1 The Agency is not responsible for service disruptions due to uncontrollable events like natural disasters or government actions.

4.3 Dispute Resolution

4.3.1 Any disputes shall first be resolved through negotiation. If unresolved, arbitration under [Jurisdiction] laws will apply.
